PART A — FOR PARTICIPANTS 18 AND OVER

READ THIS DOCUMENT CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE. BY SIGNING, YOU ARE GIVING UP SUBSTANTIAL LEGAL RIGHTS.

1. The Activities

This Waiver applies to all activities organized, hosted, promoted, or facilitated by the Club or discovered through the Clubs HQ Platform, including group runs, training sessions, workouts, track sessions, trail runs, races, time trials, social gatherings, volunteer activities, travel to and from activities, and any related activity (collectively, the "Activities").

2. Assumption of Risk

I understand that the Activities involve inherent risks that cannot be eliminated regardless of the care taken, and I knowingly and voluntarily assume all such risks. These risks include, but are not limited to:

Physical injury — falls, trips, collisions with people, animals, vehicles, or objects; sprains, strains, fractures, lacerations, concussion and other head injury, spinal injury, dental injury;
Cardiac and medical events — heart attack, cardiac arrest, stroke, arrhythmia, syncope, exercise-induced asthma, hyponatremia, rhabdomyolysis;
Environmental conditions — heat illness, heat stroke, dehydration, hypothermia, sunburn, lightning, wind, rain, ice, poor air quality;
Terrain and surfaces — uneven, wet, icy, or poorly maintained roads, sidewalks, trails, tracks, curbs, and obstacles, including defects that are not visible;
Traffic — motor vehicles, cyclists, scooters, and other traffic, including negligent or unlawful driving by third parties;
Other participants — the negligent, careless, or reckless acts of other participants, volunteers, spectators, or third parties;
Animals — dogs and wildlife;
Criminal acts — assault, robbery, or other criminal conduct by third parties;
Illness — exposure to communicable disease;
Remote locations — delayed emergency response, limited access, no cellular coverage;
Equipment — failure of personal equipment, footwear, or electronics; and
Permanent disability and death.

I understand these risks may result from the actions or inactions of myself, of other participants, of the Club, of its organizers and volunteers, or of Clubs HQ — including their ordinary negligence — and I accept them anyway.

3. Medical Fitness and Personal Responsibility

I represent and warrant that:

I am medically able and adequately trained to participate;
I have consulted a physician if I have any condition that could be affected by strenuous exercise, or I have knowingly chosen not to and accept full responsibility for that choice;
I will stop immediately and seek help if I experience chest pain, dizziness, disorientation, severe shortness of breath, or any warning sign;
I am solely responsible for my own safety, pace, hydration, nutrition, equipment, and route decisions;
I will comply with the Community Code of Conduct and with all safety instructions; and
I carry, or knowingly choose not to carry, my own health insurance, and I am solely responsible for all medical expenses I incur.

4. Released Parties

For purposes of this Waiver, "Released Parties" means:

{{club_name}}, and its founders, officers, directors, organizers, coaches, employees, volunteers, members, agents, sponsors, and affiliates;
Clubs HQ LLC and its officers, directors, employees, agents, contractors, and affiliates;
Any venue, property owner, or business partner hosting or providing space for an Activity; and
Any municipality, park authority, or permitting body whose property is used.

Clubs HQ is an express, intended third-party beneficiary of this Waiver and may enforce it directly, notwithstanding that Clubs HQ is not the Club and does not organize, supervise, or control the Activities.

5. Release of Liability

In consideration of being permitted to participate, I, for myself and my heirs, executors, administrators, personal representatives, and assigns, hereby RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE the Released Parties from any and all claims, demands, damages, actions, causes of action, costs, and expenses of any kind arising out of or relating to my participation in the Activities, INCLUDING CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES THEMSELVES, whether such claims are for personal injury, illness, disability, death, property damage, or economic loss, and whether known or unknown, foreseen or unforeseen.

I specifically acknowledge that I am releasing the Released Parties from liability for their own negligence.

6. What This Waiver Does NOT Cover

This Waiver does not release, and I do not waive, any claim arising from:

Gross negligence, recklessness, or willful, wanton, or intentional misconduct;
Conduct that applicable law prohibits from being released;
Any obligation under a workers' compensation statute; or
Any right that cannot be waived by law.

7. Indemnification

I agree to indemnify, defend, and hold harmless the Released Parties from any claim brought by me, on my behalf, or by any third party arising from my own conduct during the Activities, including reasonable attorneys' fees, except to the extent the claim arises from a Released Party's gross negligence or willful misconduct.

8. Medical Consent

If I am injured or experience a medical emergency and am unable to consent, I authorize the Club, its organizers, and any first responder to obtain emergency medical care, treatment, and transportation on my behalf. I agree to be financially responsible for all resulting costs. I authorize the Club to share my emergency contact information and any medical information I have provided with emergency personnel.

9. Media Release

☐ I grant permission for the Club and Clubs HQ to use my name, image, likeness, and voice in photographs, video, and other media captured at Activities, for the Club's and Clubs HQ's promotional, marketing, and community purposes, without compensation.

☐ I decline. I ask not to be featured in promotional media. (I understand I may still appear incidentally in wide shots of group activity, and that the Club will make reasonable efforts to honor this request but cannot guarantee it.)

This section is optional and is not a condition of participation. You may change your election at any time in account settings or by contacting the Club. This grant is revocable prospectively; it does not require recall of materials already published.

10. Consent to Contact and Records

I consent to the Club and Clubs HQ contacting me about Activities, schedule changes, and safety notices. I understand my participation, attendance, and this signed Waiver will be recorded and retained as described in the Privacy Policy.

11. Governing Law, Venue, and Severability

11.1 This Waiver is governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Exclusive venue for any dispute is the state or federal courts in Pasco County, Florida.

11.2 Severability — read this carefully. If any provision of this Waiver is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be, severed, and all remaining provisions shall continue in full force and effect. The parties intend that this Waiver be given the fullest effect permitted by law, and that a limitation in one jurisdiction shall not affect its enforceability elsewhere.

11.3 If the law of the state where an Activity occurs would not enforce a provision of this Waiver, that provision shall be interpreted and applied to the maximum extent that state's law permits, and the assumption-of-risk provisions in Section 2 shall remain fully effective regardless.

12. Entire Agreement and Acknowledgment

This Waiver is the entire agreement regarding the subject matter and supersedes any prior oral or written understanding. I have read this Waiver, I understand it, I have had the opportunity to ask questions and to consult an attorney, and I sign it freely and voluntarily. I understand that I am giving up substantial rights, including the right to sue.

PART B — FOR PARTICIPANTS UNDER 18 YEARS OF AGE

To be completed by a parent or legal guardian. A minor may not sign this Waiver on their own behalf.

NOTICE TO THE MINOR CHILD'S NATURAL GUARDIAN

READ THIS FORM COMPLETELY AND CAREFULLY. YOU ARE AGREEING TO LET YOUR MINOR CHILD ENGAGE IN A POTENTIALLY DANGEROUS ACTIVITY. YOU ARE AGREEING THAT, EVEN IF {{club_name}} AND Clubs HQ LLC USE REASONABLE CARE IN PROVIDING THIS ACTIVITY, THERE IS A CHANCE YOUR CHILD MAY BE SERIOUSLY INJURED OR KILLED BY PARTICIPATING IN THIS ACTIVITY BECAUSE THERE ARE CERTAIN DANGERS INHERENT IN THE ACTIVITY WHICH CANNOT BE AVOIDED OR ELIMINATED. BY SIGNING THIS FORM YOU ARE GIVING UP YOUR CHILD'S RIGHT AND YOUR RIGHT TO RECOVER FROM {{club_name}} AND Clubs HQ LLC IN A LAWSUIT FOR ANY PERSONAL INJURY, INCLUDING DEATH, TO YOUR CHILD OR ANY PROPERTY DAMAGE THAT RESULTS FROM THE RISKS THAT ARE A NATURAL PART OF THE ACTIVITY. B1. Parent/Guardian Representations

I certify that:

I am the parent or legal guardian of the minor named above and have full legal authority to make decisions for them and to sign this document on their behalf;
I have read Parts A and B in full and explained the risks to my child in terms they can understand;
My child is medically able to participate, and I have disclosed below any condition, allergy, or medication that a responder should know about; and
I consent to my child's participation.

B2. Waiver and Release on Behalf of the Minor

On behalf of my child, and to the fullest extent permitted by law, I waive, release, and discharge the Released Parties identified in Section 4 from any claim or cause of action arising from personal injury, including death, or property damage caused by an inherent risk of the Activities, as that term is defined by applicable law.

B3. Parent/Guardian's Own Release and Indemnity

In my own individual capacity, and not only on behalf of my child, I:

Release the Released Parties from any claim I may have arising from my child's participation, including claims for my own emotional distress, loss of consortium, and medical expenses I incur;
Agree to indemnify, defend, and hold harmless the Released Parties from any claim brought by, on behalf of, or through my child, or by any other person, arising from my child's participation — except to the extent arising from a Released Party's gross negligence or willful misconduct; and
Agree to be personally bound by this Waiver, the Master Terms of Service, and all incorporated agreements, including the dispute-resolution provisions, in my own right.

B4. Emergency Medical Authorization

I authorize the Club, its organizers, and any first responder to secure emergency medical care, treatment, and transportation for my child if I cannot be reached, and I accept financial responsibility for those costs.

B5. Media Release for a Minor

☐ I grant permission for images of my child to be used by the Club and Clubs HQ for promotional and community purposes. ☐ I decline. (Recommended default. My child's image should not be published.)

If no election is made, the default is DECLINE. Images of minors are never used in paid advertising, are never captioned with a minor's full name, and are never published together with location data.

B6. Supervision Acknowledgment

I understand that Clubs HQ does not supervise, staff, or control any Activity, does not conduct background checks on organizers, coaches, or members, and does not guarantee that any adult supervision will be provided. I am responsible for determining whether my child should attend and whether I or another responsible adult should accompany them.

B7. Duration

This Waiver applies to all Activities of the Club until revoked in writing, until my child turns 18, or until a new version of this Waiver is issued and must be re-signed — whichever occurs first. Upon turning 18, the participant must sign Part A in their own name to continue participating.
